Board of Trustees (BOT)

The Board of Trustees (BOT) consists of twelve Teaching Elders and church members, including the Chair of the Board of Trustees, who shall be the President of the corporation.

The term of office of each Trustee shall be three years. No Trustee shall serve for consecutive terms, either full or partial, aggregating to more than six years. Any Trustee having served a total of six consecutive years shall be ineligible for re-election to the BOT for a period of not less than one year thereafter.

Focus:

The BOT manages the property, legal and financial affairs of the Presbytery of the Cascades and serves as the Board of Directors of the corporation. The BOT manages and disposes of the affairs and property of the corporation under, and subject to, the direction of the Presbytery so far as such directions shall be lawful. The Presbytery delegates authority to the BOT to approve routine requests incidental to maintenance and management of real property; this authority excludes any requests relating to purchase or disposition of real property. The BOT shall report actions taken at the next stated meeting of the Presbytery.

Members serve on one of three subcommittees:

  • Finance & Endowment
  • Property Management
  • Contractual Agreements & Loans

On these subcommittees, members do research and have assignments between meetings. Members are covered by liability insurance.

Skills:

An overview of Presbyterian program and strategy; legal, corporate and property expertise and experience desirable; understanding of non-profit corporation helpful; willingness to put service as a top priority during term.

Meeting Dates:

Four meetings per year, usually in February, May, September (Orientation) and October, on a Thursday at the InterChurch Center in Portland.

  • Sub-committees meet at 12:00 pm with the entire Board meeting from 1:30pm to no later than 5:00pm (there is a concerted effort to end the meetings by 3:30-4:00pm).
  • Meetings will be both in-person or via the online ZOOM platform.
  •  All expenses for attending in-person meetings (mileage, meals, lodging) are reimbursed by the presbytery. Currently the Board is meeting online only.
